RTS Global operates within the Professional, Scientific, and Technical Services sector and specializes in computer systems design and related services. Our service offerings include, but are not limited to, systems architecture design, infrastructure integration and deployment, managed information technology services, cybersecurity assessment and implementation, custom software integration and middleware development, and strategic technology consulting.

The scope, deliverables, timeline, and fees for any specific Service engagement shall be defined in a separate written agreement, statement of work, or service proposal mutually executed by RTS Global and the client. These Terms of Service govern your general use of our Website and form the foundational legal framework for all service engagements. In the event of a conflict between these Terms of Service and a separately executed project agreement, the terms of the project agreement shall prevail with respect to the specific Services covered thereby.

Subject to your compliance with these Terms of Service, RTS Global grants you a limited, non-exclusive, non-transferable, and revocable license to access and use our Website for your personal or internal business purposes. This license does not include any right to modify, reproduce, distribute, publicly display, or create derivative works of any content on our Website without our express prior written consent.

The RTS Global name, the RTS Global logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Rts Global Holdings Inc. or its affiliates. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

For custom deliverables created as part of a Service engagement, the ownership and licensing of intellectual property developed during the course of a Project shall be governed by the terms of the specific project agreement between RTS Global and the client. Unless otherwise expressly agreed in writing, RTS Global retains ownership of all pre-existing intellectual property, methodologies, tools, and frameworks used in the delivery of Services.

10. Payment Terms

The fees, payment schedule, invoicing procedures, and payment methods for any Services provided by RTS Global shall be set forth in the applicable written project agreement, statement of work, or service proposal. Unless otherwise specified in such agreement, all invoices shall be paid in full within thirty calendar days of the invoice date. Late payments may be subject to interest charges at the rate of one and one-half percent per month or the maximum rate permitted by applicable law, whichever is lower.

All fees quoted are exclusive of applicable federal, provincial, and local taxes, including the Harmonized Sales Tax (HST) applicable in Ontario, Canada, unless otherwise stated. You are responsible for the payment of all taxes associated with the Services and your use of the Website, other than taxes based on RTS Global's net income.

11. Confidentiality

In the course of providing Services, RTS Global may receive or have access to confidential and proprietary information belonging to you or your organization, including but not limited to business plans, technical specifications, network configurations, trade secrets, financial data, customer information, and other non-public information. RTS Global agrees to hold all such confidential information in strict confidence and to use it solely for the purpose of performing the Services.

RTS Global shall implement reasonable measures to protect the confidentiality of your information, including restricting access to personnel who have a legitimate need to know such information in connection with the Services. The confidentiality obligations set forth in this section shall survive the termination of these Terms and any Project agreement for a period of five years. These obligations shall not apply to information that is or becomes publicly known through no fault of RTS Global, is independently developed by RTS Global without reference to your confidential information, or is required to be disclosed by law, regulation, or court order.

12. Disclaimer of Warranties

THE WEBSITE AND ALL CONTENT, MATERIALS, INFORMATION, PRODUCTS, AND SERVICES PROVIDED THROUGH THE WEBSITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. With respect to Services provided under a separate project agreement, RTS Global warrants that such Services will be performed in a professional and workmanlike manner consistent with generally accepted industry standards. Any warranty claims regarding specific Services shall be governed by the terms of the applicable project agreement.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL RTS GLOBAL HOLDINGS INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OF SERVICE, THE USE OF OR INABILITY TO USE THE WEBSITE OR SERVICES, OR ANY CONTENT, PRODUCTS, OR SERVICES OBTAINED THROUGH THE WEBSITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF RTS GLOBAL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF RTS GLOBAL HOLDINGS INC. FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OF SERVICE OR YOUR USE OF THE WEBSITE EXCEED THE GREATER OF ONE HUNDRED CANADIAN DOLLARS (CAD $100.00) OR THE AMOUNT YOU HAVE PAID TO RTS GLOBAL FOR SERVICES IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

14. Indemnification

You agree to defend, indemnify, and hold harmless Rts Global Holdings Inc., its parent, subsidiaries, affiliates, and their respective directors, officers, employees, agents, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses, including reasonable legal and accounting fees, arising out of or in any way connected with: your access to or use of the Website or Services; your violation of these Terms of Service or any applicable law, rule, or regulation; your violation of any third-party right, including without limitation any intellectual property, privacy, or proprietary right; or any dispute between you and any third party. RTS Global reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim.

15. Termination

These Terms of Service shall remain in full force and effect while you use the Website or Services. RTS Global reserves the right, without notice and in our sole discretion, to suspend or terminate your right to access the Website and to refuse any and all current or future use of the Website and Services for any reason or for no reason, including but not limited to your breach of any provision of these Terms of Service or any applicable law.

Upon termination, all rights and licenses granted to you hereunder shall immediately cease, and you must discontinue all use of the Website. The provisions of these Terms that by their nature should survive termination shall survive termination, including but not limited to ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability. Termination of these Terms shall not relieve either party of any obligations that accrued prior to the effective date of termination.

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation, including non-contractual disputes or claims, shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to principles of conflict of laws.

You expressly agree that the courts of the Province of Ontario shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms of Service or their subject matter or formation. You waive any objection to proceedings in such courts on the grounds of venue or on the grounds that proceedings have been brought in an inconvenient forum.

17. Dispute Resolution

RTS Global is committed to resolving disputes amicably and efficiently. Before initiating any formal legal action, you agree to first contact us at help@rtsglobal.lat and attempt to resolve the dispute informally by providing a detailed written description of the claim and allowing us a period of sixty calendar days to respond and work toward a mutually acceptable resolution.

If an informal resolution cannot be reached within sixty days, any dispute, controversy, or claim arising out of or relating to these Terms shall be resolved through binding arbitration administered in accordance with the Arbitration Act, 1991 (Ontario). The arbitration shall take place in Ottawa, Ontario, Canada, before a single arbitrator mutually agreed upon by the parties. The arbitration proceedings shall be conducted in the English language. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court having jurisdiction thereof.

18. Modifications to Terms

RTS Global reserves the right, in our sole discretion, to modify, amend, or replace these Terms of Service at any time. When we make material changes, we will update the "Last updated" date at the top of this page and post the revised Terms on the Website.
